Prayer materia is a 
Command Materia in Final Fantasy VII Rebirth. Its ability, Pray, heals the HP for every party member, with no MP cost, but costs 2 ATB charges. It is an alternative to 
Healing Materia, wherein it saves MP to cast, but its two MP cost can be restrictive.

Aerith starts the game with a prayer materia equipped.
Another prayer materia is rewarded in south of the Gongaga Airstrip, upon completing Chadley's Phenomenon Intel 4 (Turks' VR mission).
Prayer materia will be sold for 500 gil apiece in shops that sell materia from Cosmo Canyon onward.

Use[]
Pray heals the entire party, with its heal based on the user's 
Magic. It costs two ATB charges to use, but no MP. While Pray can take a while to build up two ATB charges for, the payoff is often worth it. Throughout most of the game it is inferior to a healing materia paired with 
Magnify Materia, which can potentially heal the party for much greater at a single ATB charge cost, but this option is not always available to the player when the party is low on MP.
Prayer materia can be taken advantage of either by party members with high a magic attribute (such as Aerith, Cloud, or Cait Sith), or one who can build ATB rapidly but have low MP pools (such as Tifa or Yuffie). Prayer materia can also be effective when used by party members under United Refocus. ATB Boost can help the player to get to 2 ATB segments fast when they need to use Pray.
Compared to Chakra Materia, prayer does not cure 
Poison and is less ATB-efficient, but has a greater heal due to healing all members at once. Chakra, unlike Pray, is also based on damage the user has received rather than the user's attribute, meaning it has different use cases.
A cheaper alternative to Pray is the Soothing Wind enemy skill that costs 1 ATB and is a gradual healing effect around the stationary caster.
Prayer materia may be a good pairing for AP Up Materia to get access to the stronger heals faster. Pray can be especially valuable in hard mode where MP-conservation is more crucial and the player likely has access to a leveled up Prayer. The amount healed with Pray can also be improved with certain accessories.
